Rose Bruford College is seeking an experienced and highly respected Chartered Secretary to serve as the principal adviser to the Board on governance matters.

This is a key appointment, providing independent professional advice to the Chair and Board, supporting effective decision-making, ensuring compliance with regulatory requirements, and helping the College maintain governance arrangements that are rigorous, proportionate and appropriate to its size, specialist mission and charitable status.

We are looking for an individual who combines excellent technical knowledge with sound judgement, practical insight and the confidence to provide constructive challenge when required.

About the role

Reporting directly to the Chair of the Board, you will:

  • Act as the Board's principal professional adviser on governance matters.
  • Ensure the College operates in accordance with its governing documents and delegated authorities.
  • Advise on regulatory and governance requirements, including higher education regulation, charity governance and good practice.
  • Support the planning and delivery of Board and committee business.
  • Oversee Board agendas, papers, minutes and governance records.
  • Advise on Board effectiveness, appointments, succession planning, induction and development.
  • Maintain appropriate arrangements for declarations of interest and governance assurance.
  • Identify governance risks or emerging concerns and raise these appropriately with the Chair.

You will work closely with the Principal and executive team whilst maintaining the independence necessary to support effective governance.

About you

You will be:

  • A fully qualified Chartered Governance Professional/Chartered Secretary.
  • A current Associate or Fellow of the Chartered Governance Institute UK & Ireland (ACG or FCG).
  • An experienced adviser to boards, trustees or governing bodies.
  • Knowledgeable in governance, regulation, assurance, risk management and board effectiveness.
  • Confident in providing objective, independent advice and constructive challenge.
  • An excellent communicator with strong drafting and analytical skills.
  • Able to interpret governing documents and apply them pragmatically and proportionately.

Experience within higher education would be advantageous but is not essential. The College welcomes applications from experienced governance professionals from other regulated sectors. The ability to understand Bruford's specialist higher education context and apply governance proportionately and effectively is more important than previous higher education experience.
